A law firm in Charlotte is seeking a Mid-Level Fund/Leveraged Finance Associate Attorney with 3-5 years of experience to support its Fund Finance and/or Leveraged Finance practices. The ideal candidate will have solid experience with secured and unsecured lending transactions, including fund financings, acquisition financings, leveraged finance deals, bridge loans, and other complex domestic and cross-border syndicated and bi-lateral financings. The position requires strong law school academic credentials and sophisticated law firm and transaction experience, particularly in fund finance and leveraged finance/private credit.

Duties:

  • Represent borrowers, lenders, and sponsors in a wide range of complex financing transactions, including fund financings, leveraged finance deals, and acquisition financings.
  • Advise clients on structuring, negotiating, and documenting secured and unsecured loans, bridge loans, and credit facilities.
  • Draft, review, and negotiate finance agreements, including credit agreements, security agreements, guarantees, and intercreditor agreements.
  • Lead due diligence processes and manage related aspects of finance transactions.
  • Collaborate with cross-border teams on international financing transactions, ensuring compliance with local regulations.
  • Work closely with clients, providing strategic advice on financing options, risk management, and transaction execution.
  • Manage and coordinate closing processes, including the preparation of closing checklists and closing documentation.
  • Stay up-to-date on trends and developments in fund finance, leveraged finance, and private credit markets.

Requirements:

  • 3-5 years of relevant experience in fund finance, leveraged finance, or private credit.
  • Proven experience in handling sophisticated secured and unsecured lending transactions.
  • Familiarity with syndicated and bi-lateral financings, both domestic and cross-border.
  • Ability to manage multiple transactions simultaneously and work effectively under tight deadlines.
  • Strong client management skills and the ability to build and maintain relationships with key stakeholders.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Excellent academic credentials, with a strong focus on finance, business, or commercial law.

Certifications:

  • Active membership in good standing with the State Bar (North Carolina preferred or willingness to obtain).

Skills:

  • Advanced knowledge of fund finance, leveraged finance, and private credit markets.
  • Strong drafting, negotiation, and communication skills.
  • High attention to detail and excellent organizational skills.
  • Ability to work both independently and as part of a collaborative team.
  • Strong analytical skills, with the ability to assess and manage complex financial transactions.
  • Proficiency in managing due diligence processes and coordinating transaction closings.
