A law firm seeks a talented and detail-oriented Corporate/M&A Associate to join their dynamic team in Uniondale, NY. The ideal candidate will have a strong background in corporate law with a focus on mergers and acquisitions, providing support in various stages of complex transactions. This role offers the opportunity to work alongside experienced attorneys, gaining valuable exposure to a broad range of corporate legal matters.

Duties:

  • Draft and review transaction documents, including stock and asset purchase agreements, operating agreements, and related legal documents
  • Lead and manage legal due diligence processes for transactions
  • Review and organize disclosure schedules to ensure accuracy and compliance
  • Collaborate with and oversee the work of specialists involved in transactions, ensuring alignment with legal requirements
  • Provide strategic legal advice and support to clients in corporate transactions
  • Communicate with clients and other stakeholders, ensuring timely and accurate information flow
  • Assist with negotiations and resolve complex legal issues as they arise
  • Maintain an in-depth understanding of corporate law and M&A practices to effectively support the firm's business transactions

Requirements:

  • 3+ years of experience in corporate law, with a focus on M&A transactions
  • Proven ability to draft and negotiate transactional documents, including purchase and operating agreements
  • Solid understanding of legal due diligence processes and best practices
  • Experience in reviewing and organizing disclosure schedules
  • Ability to manage multiple tasks and prioritize effectively in a fast-paced environment
  • Strong communication and interpersonal skills, with the ability to work collaboratively across teams

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Admission to the New York State Bar (or eligibility for admission)
