Job Overview:

A prominent law firm is seeking an experienced Finance & Restructuring Counsel to join its growing practice group. The ideal candidate will have a minimum of 7 years of transactional experience representing financial institutions and corporate trust clients. The role will involve advising on a wide range of corporate trust transactions, including structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances. The Counsel will be responsible for reviewing, negotiating, and drafting a variety of transactional agreements and must possess excellent writing, negotiation, and client management skills. Location:

  • Los Angeles, CA

Duties:

  • Represent financial institutions and corporate trust clients in a variety of corporate trust transactions, including structured finance, municipal debt, and corporate debt issuances.
  • Review, negotiate, and draft transactional agreements such as trust indentures, loan agreements, account control agreements, custodial agreements, servicing agreements, SaaS contracts, software licenses, and vendor agreements.
  • Provide guidance on a wide range of complex financial transactions.
  • Manage multiple transactions and assignments with minimal supervision.
  • Lead and manage other attorneys and paralegals within the practice group.
  • Ensure high-quality legal work while maintaining exceptional client service.
  • Collaborate effectively with colleagues to provide integrated legal services.

Requirements:

  • A minimum of 7 years of transactional experience, preferably in finance and restructuring.
  • Experience with corporate trust transactions, including structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances.
  • Strong expertise in reviewing, negotiating, and drafting various transactional agreements, such as loan, agency, custodial, servicing, and software contracts.
  • Demonstrated ability to manage multiple projects with a high level of autonomy and minimal supervision.
  • Proven leadership and team management skills, with experience supervising junior lawyers and paralegals.
  • Excellent written and verbal communication skills.
  • Strong academic background and excellent client focus.
  • Ability to work collaboratively within a team environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the bar in the jurisdiction for which the position is located.
