A law firm seeks a highly skilled associate to join its Technology & IP Transactions group in San Francisco, CA. The ideal candidate will have 3-6 years of experience in technology and intellectual property-intensive transactions. This role offers the opportunity to work on a diverse range of transactions involving various industries such as software, pharma, life sciences, energy, infrastructure, chemicals, consumer products, and media. Associates will be involved in both domestic and international transactions, providing exceptional growth opportunities within a collaborative and dynamic environment.

Duties:

  • Work on a wide range of technology and IP transactions, including mergers and acquisitions, joint ventures, and strategic alliances.
  • Draft and negotiate agreements, including software and systems agreements, outsourcing agreements, R&D agreements, and collaboration agreements.
  • Advise clients on commercial transactions such as licensing (patent, trademark, copyright, data/databases), financing, and restructuring.
  • Collaborate with cross-functional teams to provide legal solutions for clients across multiple industries.
  • Assist in the negotiation and structuring of complex deals involving intellectual property, technology, and related matters.
  • Handle domestic and international transactions for public and private companies, providing innovative legal advice.

Requirements:

  • 3-6 years of experience in technology and IP transactions or related experience.
  • Demonstrated ability to handle complex transactions, including drafting and negotiating commercial agreements.
  • Experience with a broad range of industries, such as software, pharma, energy, infrastructure, and media.
  • Ability to think critically and offer creative solutions in a fast-paced environment.
  • Strong written and verbal communication skills, with an ability to clearly articulate complex legal concepts.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Excellent academic credentials.

Certifications:

  • Admission to the California State Bar or eligibility to obtain admission promptly.

Skills:

  • Expertise in technology and IP transactions, including licensing, joint ventures, and commercial agreements.
  • Proficiency in drafting and negotiating various agreements, including software, R&D, and collaboration agreements.
  • Strong understanding of the technology, pharma, media, and infrastructure industries.
  • Ability to manage and prioritize multiple projects and deadlines.
  • Collaborative team player with a proactive and client-focused approach.
