A law firm seeks a Principal Attorney with extensive experience in securities law and capital market transactions to join its Business Practice Group in Washington, DC. This partner-level role involves advising both small and large businesses on complex transactions, with a focus on public offerings, securities compliance, and corporate governance. The attorney will collaborate with professionals across multiple practice areas and offices, supporting clients through intricate regulatory and market challenges.

Duties

  • Advise clients on public securities offerings, SEC compliance, and corporate governance matters.
  • Oversee complex capital market transactions, including debt and equity transactions.
  • Ensure clients meet public company reporting obligations and other securities regulations.
  • Provide guidance on corporate governance requirements to support client compliance.
  • Collaborate with attorneys across various offices and practice areas to deliver comprehensive legal solutions.

Requirements

  • Experience: At least 7 years in securities law, capital markets, public offerings, SEC compliance, corporate governance, and debt/equity transactions.
  • Portable Book of Business: Required.
  • Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: Proficiency in analytical and legal writing, with a client-centered approach.
  • Communication: Exceptional communication skills, enabling clear guidance and advocacy for clients.
  • Teamwork: Enthusiastic about working within a diverse team or independently as required.
  • Project Management: Ability to manage multiple responsibilities and projects effectively.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

  • Active law license.
