Duties:

  • Provide expert legal counsel on executive compensation and employee benefits matters, particularly in the context of mergers and acquisitions.
  • Address related tax and securities law issues affecting executive compensation.
  • Draft and negotiate executive compensation agreements, equity plans, and related legal documents.
  • Support M&A transactions with compensation-related issues.
  • Collaborate with senior attorneys and team members to deliver comprehensive legal solutions to clients.
  • Build and maintain strong relationships with clients, offering strategic and practical advice on compensation matters.

Requirements:

  • 1-3 years of experience in executive compensation and employee benefits law, with a focus on mergers and acquisitions.
  • Strong understanding of tax and securities law related to executive compensation.
  • Significant deal experience, particularly with compensation-related aspects of M&A transactions.
  • Superior academic credentials.
  • Excellent oral and written communication skills.
  • Active Bar membership in California, New York, or Washington.

Education:

  • Juris Doctor (J.D.) from an accredited law school.
  • Superior academic credentials.

Certifications:

  • Active Bar License in California, New York, or Washington.

Skills:

  • Knowledge of executive compensation and employee benefits law.
  • Ability to manage and advise on complex M&A compensation matters.
  • Strong deal experience in executive compensation.
  • Expertise in tax and securities laws related to compensation.
  • Exceptional written and verbal communication skills.
