A law firm in New York City is seeking a Mid/Senior Private Equity M&A Associate Attorney with 3+ years of experience. The ideal candidate will have a background in corporate and transactional matters, including mergers and acquisitions, leveraged recapitalizations, growth equity and venture capital transactions, exits, and equity compensation. The candidate should possess exceptional academic credentials, relevant law firm experience, and strong written and verbal communication skills. Admission to the New York Bar or eligibility to promptly obtain admission is required, along with a deal sheet showcasing transactional experience.

 

Duties:

  • Collaborate effectively within teams and manage components of transactions independently.
  • Handle a broad range of corporate and transactional matters, including mergers and acquisitions, leveraged recapitalizations, growth equity and venture capital transactions, exits, and equity compensation.
  • Conduct due diligence reviews and prepare related documentation.
  • Draft and negotiate transactional documents, including purchase agreements, shareholder agreements, and employment contracts.
  • Provide legal advice and strategic counsel to clients on transactional matters.
  • Assist with the structuring and execution of complex transactions.
  • Liaise with clients, opposing counsel, and other relevant parties throughout the transactional process.

 

Requirements:

  • 3+ years of experience in private equity, mergers and acquisitions, or related corporate transactional matters.
  • Outstanding academic credentials.
  • Comparable law firm experience in a corporate or transactional practice.
  • Excellent written and verbal communication skills.
  • Admission to the New York Bar or eligibility to promptly obtain admission.
  • Demonstrated experience in managing transactions independently.
  • Strong analytical and problem-solving abilities.
  • Attention to detail and commitment to quality work.

 

Education:

Juris Doctor (JD) from an accredited law school.

 

Certifications:

Admission to the New York Bar or eligibility to promptly obtain admission.
