Job Overview: A law firm in New York City is seeking a Corporate and Securities Associate Attorney with 5-6 years of experience. The ideal candidate will have substantial experience in mergers and acquisitions, preferably within the private equity space, and demonstrate exceptional research, writing, and analytical skills. Duties:

  • Mergers and Acquisitions: Manage and execute M&A transactions, including due diligence, drafting and negotiating transaction documents, and providing strategic advice.
  • Private Equity: Advise clients on private equity investments, fund formation, and related transactions.
  • Securities Matters: Handle securities regulatory compliance, public and private offerings, and corporate governance issues.
  • Legal Research: Conduct in-depth legal research and analysis to support complex transactions and client advisories.
  • Documentation: Draft, review, and negotiate various legal documents, including purchase agreements, disclosure schedules, and corporate governance documents.
  • Client Interaction: Serve as a primary point of contact for clients, providing legal guidance and ensuring their needs are met throughout the transaction process.
  • Collaborative Work: Work closely with senior attorneys and partners on significant corporate and securities matters, ensuring high-quality legal support and advice.
  • Compliance: Ensure all transactions and client advisories comply with applicable laws and regulations.

Requirements:

  • Experience: 5-6 years of experience in corporate and securities law, with a strong focus on mergers and acquisitions and private equity.
  • Academic Background: Strong academic credentials from an ABA-accredited law school.
  • Bar Admission: Admitted and in good standing as a member of the New York State Bar.
  • Prior Employment: Current or prior employment with an AmLaw 100 firm is preferred.
  • Skills: Exceptional research, writing, and analytical skills, along with a proven ability to handle complex transactions and provide strategic legal advice.

Education:

  • Bachelor’s Degree: Required.
  • Juris Doctor (J.D.): From an ABA-accredited law school.

Certifications:

  • Bar Admission: Licensed and in good standing to practice law in New York.

Skills:

  • Transaction Management: Experience managing M&A transactions and private equity investments.
  • Legal Research: Strong ability to conduct thorough legal research and analysis.
  • Document Drafting: Proficiency in drafting and negotiating complex legal documents.
  • Client Relations: Excellent communication skills for interacting with clients and providing effective legal advice.
