Mid-Senior Corporate Associate Attorney Public Companies and Capital Markets

Job Overview:

A prestigious law firm is recruiting a mid-level to senior Corporate Associate with expertise in public company reporting, compliance, and capital markets. This role focuses on SEC and Nasdaq/NYSE regulations, as well as advising clients on a variety of capital markets transactions. Location:

• Palo Alto, CA

Duties:

• Oversee public company reporting compliance, including SEC filings, disclosure matters, and governance
• Manage Nasdaq/NYSE compliance and address day-to-day regulatory issues for public companies
• Represent issuers and investment banks in capital markets transactions, such as:
  • Initial Public Offerings (IPOs)
  • Equity and debt offerings
  • Private investments in public entities (PIPEs)
  • At-the-market offerings
• Provide legal guidance to clients in the technology and life sciences sectors

Requirements:

• Proven experience in public company compliance, SEC regulations, and Nasdaq/NYSE governance
• Strong background in capital markets transactions, particularly with issuers and investment banks
• Familiarity with technology and life sciences industries is advantageous

Education:

• Juris Doctor (JD) degree from an accredited law school

Certifications:

• Active bar membership in good standing in the relevant jurisdiction(s)

Skills:

• Expertise in public company governance and compliance
• Proficiency in capital markets transactions and regulatory requirements
• Excellent communication and client service skills
• Ability to handle multiple transactions and meet critical deadlines effectively
