A law firm seeks an experienced Principal Attorney specializing in securities law and capital market transactions to join its Business Group in Spokane, WA. This partner-level role is dedicated to advising a range of clients, from emerging enterprises to established public companies, on complex transactions related to public offerings, SEC compliance, and corporate governance. The position offers the opportunity to work alongside skilled attorneys across multiple practice areas and office locations.

Duties

  • Advise clients on public securities offerings, SEC regulatory compliance, and corporate governance matters.
  • Manage capital market transactions, including both debt and equity offerings.
  • Ensure clients meet public company reporting obligations and comply with securities regulations.
  • Guide clients on corporate governance structures to maintain regulatory adherence and optimal organization.
  • Collaborate with attorneys across various offices to deliver comprehensive, strategic legal solutions.

Requirements

  • Experience: Minimum of 7 years in securities law, capital markets, public securities offerings, SEC compliance, corporate governance, and debt/equity transactions.
  • Portable Book of Business: Required.
  • Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: Strong analytical and legal writing skills with a client-centered approach.
  • Communication: Excellent communication skills for clear and effective client advisement.
  • Teamwork: Enthusiastic about working collaboratively in a diverse team or independently as needed.
  • Project Management: Ability to manage multiple significant projects with attention to detail and responsiveness.

Education
