A prestigious law firm, based in New York City, is seeking a Mid-Level Corporate Attorney with 3-5 years of experience in securities and corporate law. Duties

• Provide strategic legal counsel to clients on a wide range of corporate matters, including securities offerings, mergers and acquisitions, and general corporate law.
• Advise clients on SEC regulations, '33 Act Registration Statements, ’34 Act periodic filings, and other regulatory requirements.
• Handle complex corporate transactions, including PIPEs, equity financings, and general corporate governance.
• Perform SEC research and assist clients in navigating compliance and regulatory issues.
• Manage client relationships proactively, ensuring their needs are met with the highest degree of professionalism and efficiency.
• Collaborate with internal teams to provide comprehensive legal support for corporate clients, including high-growth businesses and investors.

Requirements

• Fluency in both Mandarin and English is mandatory.
• Admission to the New York State Bar.
• Authorized to work in the United States.
• Minimum of 3-5 years of experience in securities, corporate law, and related fields.
• Strong understanding of SEC regulations, corporate law, mergers & acquisitions, and securities offerings.
• Proven ability to manage client relationships and provide proactive, strategic legal guidance.
• Exceptional attention to detail and excellent communication skills.

Education

• JD from an accredited law school.

Certifications

• New York State Bar admission is required.
