Duties

• Advise clients on equity and debt capital markets transactions, representing both issuers and underwriters
• Provide counsel on SEC reporting and disclosure requirements, ensuring compliance with regulatory standards
• Assist public and private companies with compliance matters related to national securities exchanges
• Support clients on corporate financing matters and general corporate governance issues
• Manage client relationships effectively, providing timely legal guidance on complex capital markets matters

Requirements

• Experience advising on capital markets transactions, including both equity and debt offerings
• Knowledge of SEC reporting, disclosure, and compliance with national securities exchange regulations
• Demonstrated ability to manage client relationships and provide high-quality legal counsel
• Strong academic credentials and a proven achievement drive

Education

• Juris Doctor (J.D.) degree from an accredited law school

Certifications

• Active membership in good standing with the State Bar of California, or eligibility for admission
