Job Overview: A highly respected law firm is seeking an experienced Associate Attorney to join its Corporate Services Practice Group with a focus on Mergers & Acquisitions (M&A). This role involves handling complex corporate transactions such as acquisitions, private equity deals, joint ventures, and strategic investments. The position offers the opportunity to work with diverse clients and lead transactions from inception to completion, while contributing to the firm's growth.

Duties:

  • Manage corporate transactions, including acquisitions, divestitures, private equity deals, joint ventures, capital raises, and private placements.
  • Draft, review, and negotiate sophisticated corporate documents and commercial contracts.
  • Provide strategic legal advice and handle high-level aspects of multiple legal matters.
  • Lead and participate in client meetings, offering expert legal counsel throughout the transaction process.
  • Ensure timely and high-quality client service, meeting billable hours and client expectations.
  • Work collaboratively with internal teams and mentor junior associates as needed.
  • Generate business through both group collaboration and individual efforts.
  • Uphold the highest ethical standards in all legal practices.

Requirements:

  • Minimum of 5 years of relevant experience in Mergers & Acquisitions and other transactional work.
  • Significant experience in drafting, reviewing, and negotiating complex corporate documents.
  • Strong attention to detail with the ability to manage multiple matters simultaneously.
  • Excellent written and verbal communication skills, both for internal and external client relations.
  • Demonstrated ability to work independently and take initiative in a fast-paced environment.
  • Leadership skills, with experience in delegating and guiding support staff or junior associates.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active law license and in good standing in at least one jurisdiction where the firm conducts business.
  • Must maintain applicable license renewal and continuing legal education (CLE) requirements.

  • Expertise in corporate law, Mergers & Acquisitions, and transactional legal work.
  • Strong decision-making and strategic thinking abilities.
