A law firm in Ann Arbor, MI, is seeking an experienced Corporate Attorney with expertise in business transactions, mergers and acquisitions, and general corporate law. The ideal candidate will have excellent academic credentials, strong project management skills, and the ability to handle multiple projects while maintaining responsiveness and attention to detail. Admission to the Michigan bar is preferred but not required.

Duties and Responsibilities:

  • Assist clients in business transactions, including mergers and acquisitions, private offerings, and capital restructuring.
  • Provide legal counsel on general corporate matters, contract review, and drafting.
  • Lead and manage merger and acquisition transactions from inception to closing.
  • Conduct due diligence reviews and prepare related reports and analyses.
  • Negotiate and draft transactional documents, including purchase agreements, shareholder agreements, and other corporate contracts.
  • Advise clients on corporate governance, compliance issues, and regulatory matters.
  • Collaborate with internal and external stakeholders to achieve client objectives.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Michigan State Bar (preferred) or eligibility for admission by motion.
  • Minimum of 3 years of experience practicing corporate law at a law firm.
  • Demonstrated ability to lead transactions in a first chair capacity.
  • Strong transactional background with experience in mergers and acquisitions.
  • Excellent academic credentials with a record of high achievement.
  • Exceptional project management skills with the ability to prioritize and manage multiple deadlines.
  • Outstanding attention to detail and commitment to delivering high-quality work.
  • Superior client service and communication skills, both written and verbal.

Preferred Certifications:

  • Certification in Business Law or related field is advantageous.
