A law firm seeks a skilled Tax Associate to join its dynamic team in Boston, MA. This position offers an exciting opportunity for an attorney with a strong background in transactional tax law, particularly in M&A, fund formation, REITs, joint ventures, and private equity. The ideal candidate will have 3-5 years of relevant experience, a passion for tax law, and an interest in working on complex transactions within a collaborative environment.

Duties:

  • Assist with transactional tax matters, including mergers and acquisitions (M&A), partnership issues, fund formation, joint ventures, and private equity.
  • Provide expertise in tax planning and structuring for corporate transactions.
  • Research and analyze tax implications of various business transactions.
  • Work on tax issues related to Real Estate Investment Trusts (REITs).
  • Draft and review tax-related documents, agreements, and structures.
  • Collaborate with internal teams to manage client expectations and deliver high-quality legal advice.
  • Stay informed on the latest developments in tax laws and regulations to provide up-to-date counsel.

Requirements:

  • 3-5 years of experience in transactional tax law, with exposure to M&A and partnership matters.
  • Strong academic background with excellent written and verbal communication skills.
  • LL.M. in Taxation or significant tax coursework at the JD level is preferred.
  • Law firm experience is preferred; large accounting firm experience may also be considered.
  • Active license and good standing with the state bar where practicing.
  • Ability to work three days a week in the office.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • LL.M. in Taxation (preferred but not required).

Certifications:

  • Active state bar membership in good standing.

Skills:

  • Strong understanding of transactional tax issues, including corporate transactions, partnerships, M&A, and fund formation.
  • Excellent legal research, writing, and analytical skills.
  • Exceptional attention to detail and organizational abilities.
  • Strong communication and interpersonal skills.
  • Ability to collaborate effectively with a diverse team of professionals.
  • Familiarity with tax laws and regulations related to REITs and private equity transactions.
