Job Overview:
A law firm seeks an experienced Corporate Associate to join its team, focusing primarily on energy and franchise matters. This role is based in either Chicago, IL, or St. Louis, MO. The ideal candidate will have a strong background in corporate transactions, mergers and acquisitions, or franchise law. This is an excellent opportunity to work in a collaborative and fast-paced environment while gaining exposure to sophisticated legal matters.

Duties:

  • Handle corporate transactional matters, including mergers, acquisitions, and other business transactions.

  • Draft, review, and negotiate franchise disclosure documents (FDD), franchise agreements, and other related contracts.

  • Provide legal counsel on franchise regulatory compliance and business structuring.

  • Conduct due diligence for business transactions and risk assessments.

  • Work closely with clients to provide strategic legal guidance on corporate governance and regulatory issues.

  • Collaborate with other legal professionals on cross-disciplinary matters, including real estate and commercial transactions.

  • Assist with structuring and negotiating agreements related to the energy sector and franchise industries.

  • Stay up to date on relevant legal developments affecting business operations and regulatory compliance.

Requirements:

  • Minimum of 2 years of transactional legal experience, preferably in corporate/M&A, franchise, or real estate law.

  • Strong research, analytical, and problem-solving skills.

  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.

  • Excellent written and verbal communication skills.

  • Ability to work independently and collaboratively as part of a legal team.

  • Client-focused mindset with the ability to provide strategic and practical legal counsel.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in either Illinois or Missouri (or eligibility for licensure in one of these states).

Skills:

  • Strong drafting and negotiation skills.

  • Knowledge of franchise law and regulatory compliance preferred.

  • Proficiency in legal research and risk assessment.

  • Detail-oriented with excellent organizational skills.

  • Ability to develop and maintain client relationships effectively.
