Technology Transactions & Licensing Associate

Job Overview:
A law firm seeks a mid-level Technology Transactions Associate with at least 3 years of hands-on experience. The role will support the firm’s expanding technology transactions practice across multiple U.S. locations, including California (San Francisco, Santa Monica, Silicon Valley), New York, and Washington, D.C. This is an exciting opportunity to join a dynamic team working with leading technology, digital media, and life sciences companies, as well as startups, on complex and high-profile transactions.

Duties:

• Advise clients on commercial agreements, technology licensing, intellectual property, and digital media transactions.
• Handle technology aspects of corporate transactions, including M&A and corporate restructuring.
• Provide support on content licensing and distribution agreements.
• Collaborate with various departments, including corporate law, intellectual property, and litigation.
• Engage in cross-border deals with clients in the U.S. and internationally.
• Work closely with both internal teams and external clients to navigate complex legal and business issues.

Requirements:

• Minimum of 3 years of relevant experience in technology transactions, IP licensing, and digital media.
• Strong knowledge of corporate transactions, particularly technology aspects of M&A and licensing.
• Experience advising on content licensing and distribution agreements is a plus.
• Excellent communication and interpersonal skills, with the ability to work well in a collaborative, fast-paced environment.
• Ability to work on multiple projects and meet deadlines effectively.
• Applicants must be licensed to practice law in the jurisdiction they are applying for or must be eligible to sit for the next bar exam in that jurisdiction.

Education:

• Juris Doctor (J.D.) from an accredited law school.

Certifications:

• Must be a licensed attorney in the state of application or eligible to sit for the next bar exam.

Skills:

• Expertise in technology transactions and intellectual property licensing.
• Strong business acumen and understanding of the technology and life sciences industries.
• Proficient in drafting, reviewing, and negotiating complex legal documents.
• Excellent written and verbal communication skills.
• Ability to collaborate effectively across multiple teams and offices.
