Job Overview: A distinguished law firm in Boston, MA is seeking a Junior to Mid-Level Associate Attorney to join its Corporate Finance Practice. This role offers an exciting opportunity to work on sophisticated finance transactions, representing both lenders and borrowers. The ideal candidate will have experience with a broad range of financial agreements, including credit facilities, acquisition financings, and private credit facilities.

Duties:

  • Represent lenders and borrowers in a variety of finance transactions
  • Draft, review, and revise complex legal documents such as credit agreements, security agreements, and debt commitment letters
  • Manage transaction closings and deliverables, including legal opinions, schedules, and exhibits
  • Provide legal counsel to clients on syndicated credit facilities, acquisition financings, and private credit facilities
  • Collaborate with private equity sponsors and portfolio companies, offering legal guidance
  • Handle significant responsibilities, including deal management and client interaction

Requirements:

  • 2-4 years of experience in corporate finance or finance transactions
  • Strong background in drafting and negotiating finance-related legal documents
  • Familiarity with both lender and borrower representations in credit agreements
  • Previous experience working with private equity sponsors is an advantage
  • Ability to manage client relationships and work products efficiently

Education:

  • Juris Doctor (JD) from an accredited law school
  • Strong academic background

Certifications:

  • Admission to one or more State Bars is required
