A law firm in Austin, TX is seeking a talented Projects (M&A) Counsel to join their team. The role involves providing strategic legal counsel on mergers and acquisitions projects, ensuring compliance and facilitating successful transactions.

Duties and Responsibilities:

  • Advise clients on mergers, acquisitions, joint ventures, and other corporate transactions.
  • Conduct due diligence reviews and risk assessments for M&A transactions.
  • Draft, review, and negotiate transactional documents such as purchase agreements, merger agreements, and confidentiality agreements.
  • Provide guidance on corporate governance matters and regulatory compliance issues related to M&A transactions.
  • Collaborate with internal teams, clients, opposing counsel, and regulatory authorities throughout the transaction process.
  • Assist in structuring and executing complex corporate transactions to meet client objectives.
  • Research legal issues and provide clear and concise recommendations to clients.
  • Stay updated on changes in corporate laws, regulations, and market trends affecting M&A transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in good standing in Texas.
  • Experience practicing law with a focus on mergers and acquisitions, preferably in a law firm environment.
  • Proven track record of handling M&A transactions from start to finish.
  • Strong understanding of corporate finance, securities laws, and regulatory compliance.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work independently and collaboratively within a team environment.
  • Detail-oriented with strong analytical and problem-solving abilities.
  • Upholds high ethical standards and maintains client confidentiality.

Preferred Certifications:

  • Certification in Mergers and Acquisitions (M&A) or related field is a plus.

Preferred Skills:

  • Experience with cross-border M&A transactions.
  • Familiarity with tax implications in corporate transactions.
  • Proficiency in additional languages is advantageous.
