A law firm in Richmond is seeking a highly motivated M&A and Energy Transactional Associate Attorney to join their growing corporate practice. This position offers a dynamic opportunity to work on complex corporate transactions, with a focus on mergers and acquisitions (M&A) and the energy sector, including power, renewable energy, oil and gas. The ideal candidate will have a robust background in corporate law and experience working with sophisticated clients, advising both legal and business teams throughout the transaction lifecycle. Duties and Responsibilities:

  • Handle and manage M&A transactions, including due diligence, drafting and negotiating key transaction documents, and advising clients through deal structures and terms.
  • Advise clients in the energy industry, particularly in areas such as power, renewable energy, oil, and gas.
  • Assist with project finance, infrastructure development, construction contracts, and/or tax equity transactions.
  • Collaborate with both legal and business teams from deal inception through closing, providing strategic advice and counsel.
  • Negotiate and draft various corporate documents, including purchase agreements, joint venture agreements, and other key transaction documents.
  • Conduct legal research and analysis on corporate and energy-related laws and regulations.
  • Ensure regulatory compliance and advise clients on legal risks associated with transactional matters.
  • Represent clients in complex negotiations with opposing parties and regulatory agencies.
  • Work closely with cross-functional teams within the firm to ensure successful transaction closings.
  • Provide billable client services while maintaining a high level of accuracy and professionalism.

Requirements:

  • 3-6 years of experience in corporate transactions, preferably in a sophisticated national law firm environment.
  • Specific experience with M&A transactions, project finance, and the energy industry (power, renewable energy, oil, and gas) preferred.
  • Familiarity with infrastructure development, construction contracts, and/or tax equity transactions is highly desirable.
  • Strong drafting and negotiation skills, with experience handling key transaction documents.
  • Exceptional interpersonal and oral communication skills to interact with clients, stakeholders, and cross-functional teams.
  • Ability to manage multiple projects, prioritize deadlines, and work efficiently under pressure.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic record, particularly in corporate law and energy-related coursework.
  • Licensed to practice law in Virginia or eligibility to waive into the Virginia Bar is preferred.
