Job Overview: A law firm is seeking a mid-level associate to join their Intellectual Property/Technology Transactions team. The ideal candidate will have significant experience advising on intellectual property aspects of corporate transactions, such as financing, mergers and acquisitions, joint ventures, and other strategic matters. This role involves working closely with clients on IP-related matters and negotiating complex commercial contracts.

Location:

Duties:

  • Advise clients on intellectual property aspects of corporate transactions, including mergers and acquisitions, joint ventures, and financing.
  • Conduct due diligence investigations on intellectual property and technology assets.
  • Draft and negotiate license agreements, technology agreements, and other commercial contracts.
  • Counsel clients on matters related to intellectual property rights.
  • Collaborate with corporate teams to ensure that IP aspects of transactions are efficiently managed.

Requirements:

  • Significant experience with intellectual property aspects of corporate transactions, including buy-side and sell-side transactions.
  • Strong background in intellectual property rights, including patent, trademark, copyright, and trade secrets.
  • Proven ability to draft and negotiate license agreements and technology agreements.
  • Experience conducting due diligence investigations.
  • Admitted to the state bar of the preferred office location.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the state bar of the preferred office location.

Skills:

  • Strong drafting and negotiating skills for complex intellectual property and technology agreements.
  • Excellent analytical skills with the ability to manage due diligence and legal risks in IP transactions.
  • Strong communication and client relationship management skills.
  • Detail-oriented with the ability to handle multiple transactions efficiently.
