A law firm located in New York City is seeking an experienced Corporate Associate Attorney with a strong background in mergers and acquisitions and US securities law. The ideal candidate will have a proven track record of handling complex transactions involving public companies and will be adept at navigating the intricacies of corporate law in a fast-paced environment.

Duties and Responsibilities:

  • Represent clients in mergers, acquisitions, and other corporate transactions, ensuring compliance with US securities laws and regulations.
  • Draft and review transactional documents, including purchase agreements, disclosure schedules, and other related materials.
  • Conduct legal research and provide strategic advice on regulatory and compliance matters.
  • Collaborate with clients, senior attorneys, and other stakeholders to develop and implement legal strategies.
  • Manage due diligence processes, including the review and analysis of financial, legal, and operational information.
  • Oversee and coordinate with external advisors, including financial consultants and auditors, during transactions.
  • Prepare and deliver presentations and reports on transaction-related matters to clients and internal teams.
  • Stay current with developments in corporate law, securities regulations, and industry trends.

Requirements:

  • Minimum of 5 years of experience in mergers and acquisitions, with a focus on US securities law considerations in transactions involving public companies.
  • Demonstrated expertise in drafting and negotiating complex transactional documents.
  • Proven ability to manage multiple transactions simultaneously and work effectively under pressure.
  • Strong understanding of regulatory requirements and compliance issues related to public company transactions.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Bachelor's degree in business, finance, or a related field is preferred.

Certifications:

  • Admission to the New York State Bar or eligibility for admission.
