Job Overview: A recruiting firm is seeking a highly skilled and driven Transactional Attorney on behalf of a growing law firm in Houston. This role presents an exciting opportunity to work within a robust business transactional practice. The successful candidate will provide counsel on a range of complex legal matters, including mergers and acquisitions, corporate finance, securities, and commercial contracts. The attorney will manage significant transactions and work closely with clients to ensure compliance and successful deal execution.

Duties:

  • Advise clients on a variety of business transactions, including mergers and acquisitions, corporate finance, and securities.
  • Draft and negotiate contracts, agreements, and other legal documents related to commercial transactions.
  • Manage and oversee the legal aspects of business transactions, from inception through closing.
  • Conduct due diligence on corporate deals to identify potential legal risks.
  • Provide legal support for commercial contracts, ensuring compliance with applicable laws and regulations.
  • Collaborate with clients to understand business goals and provide tailored legal strategies.
  • Stay current on relevant regulatory changes affecting business transactions and corporate law.

Requirements:

  • Minimum of 5 years of experience in transactional law, including experience in mergers, acquisitions, and corporate finance.
  • Strong business acumen and ability to manage complex transactions independently.
  • Experience with drafting and negotiating a variety of commercial contracts.
  • Knowledge of applicable laws and regulations relating to business transactions.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in Texas.

Skills:

  • Excellent drafting, negotiation, and analytical skills.
  • Strong communication abilities, both written and verbal.
  • Ability to handle multiple complex transactions simultaneously and work under pressure.
  • Strong organizational and project management skills.
  • Ability to collaborate effectively with clients and team members.
