Job Overview:

A law firm is seeking a Mid-level Tax Associate Attorney to join their team in Charlotte, NC. This position offers the opportunity to work closely with experienced lawyers who will provide active mentoring and opportunities to assume increasing levels of responsibility and client contact. The ideal candidate will have 3-5 years of experience in transactional tax matters, with a preference for experience in private equity transactions.

Duties:

  • Draft, review, and negotiate tax provisions in merger agreements, stock purchase agreements, asset purchase agreements, and related agreements.
  • Draft and review partnership, joint venture, and limited liability company agreements.
  • Handle tax aspects of equity and debt financing transactions.
  • Provide high-quality client service and maintain strong client relationships.
  • Collaborate with team members and work independently on assigned tasks.
  • Assist with other duties as needed within the tax practice group.

Requirements:

  • 3-5 years of experience in transactional tax matters.
  • Experience with private equity transactions preferred.
  • Strong academic credentials.
  • Excellent communication skills.
  • Ability to work independently and as part of a team.
  • Commitment to providing the highest quality client service.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • LL.M. in Taxation is strongly preferred.

Certifications:

  • Admission to the state bar in North Carolina or eligibility for admission on motion.

  • Proficiency in drafting, reviewing, and negotiating complex agreements.
  • In-depth knowledge of tax law and transactional tax matters.
