A law firm in Birmingham, MI, is seeking an experienced Corporate Attorney to join their team. The ideal candidate will have substantial experience in business transactions, including mergers and acquisitions, private offerings, and capital restructuring. Expertise in general corporate work, contract review and drafting, and leading transactions is essential.

Duties and Responsibilities:

  • Assist clients in business transactions, such as mergers and acquisitions, private offerings, and capital restructuring.
  • Provide legal counsel on general corporate matters, including contract negotiation, drafting, and review.
  • Lead and manage transactional matters from start to finish, acting in a first chair capacity.
  • Conduct due diligence investigations and prepare related reports and analyses.
  • Negotiate and draft transactional documents, including purchase agreements, shareholder agreements, and corporate resolutions.
  • Advise clients on corporate governance, compliance issues, and regulatory matters.
  • Maintain client relationships and ensure exceptional client service throughout engagements.
  • Collaborate effectively with internal teams and external parties to achieve client objectives.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Michigan State Bar (preferred) or eligibility for admission by motion.
  • Minimum of 3 years of experience practicing corporate law at a law firm.
  • Proven ability to lead transactions in a first chair capacity, demonstrating strong leadership skills.
  • Excellent academic credentials with a record of high achievement.
  • Ability to manage multiple projects and deadlines concurrently with a high level of responsiveness.
  • Exceptional attention to detail and accuracy in work product.
  • Outstanding interpersonal and communication skills, both written and verbal, to effectively interact with clients and colleagues.

Preferred Certifications:

  • Certification in Business Law or related field is advantageous.
