Job Overview

An established law firm is seeking a Senior Corporate and Real Estate Attorney to join its Corporate & Securities and Real Estate practice groups in Irvine, CA. This position focuses on corporate transactions, real estate matters, and securities offerings, offering opportunities for client interaction, project management, and professional development.

Location

Duties

  • Manage corporate transactions, general corporate matters, and non-public securities offerings.
  • Handle all aspects of M&A transactions, including due diligence and drafting transaction documents.
  • Draft complex corporate documents such as operating agreements, shareholder agreements, SaaS agreements, joint venture agreements, and general commercial documents.
  • Prepare and draft documents related to private funds and securities offerings, including PPMs, subscription agreements, and complex operating agreements.
  • Write articles, compile presentation materials, and participate in marketing initiatives for the Corporate & Securities practice group.

Requirements

  • Minimum of 6 years of experience at a law firm focusing on corporate, securities, and real estate matters.
  • Proficiency in drafting corporate documents, contracts, and transactional agreements.
  • Familiarity with significant aspects of M&A transactions, including drafting, due diligence, and preparing schedules.
  • Competency in Microsoft Office, with strong skills in Word, Excel, and PowerPoint (Mastery preferred).
  • Demonstrable experience in direct client contact, project management, or training junior staff is strongly preferred.

Education

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the bar in California.

Certifications

  • Active California State Bar license required.

Skills

  • Strong drafting and analytical skills.
  • Familiarity with non-public securities offerings and private fund structuring preferred.
  • Knowledge of tax law is a plus.
  • Proficiency with Clio software and fluency in additional languages are advantageous.
