A law firm in Washington, DC, is seeking a highly skilled Corporate Securities/Capital Markets Associate Attorney with 2-5 years of experience in corporate law. The ideal candidate should possess specific expertise in securities and capital markets, particularly in public company reporting obligations, public securities offerings, SEC compliance, corporate governance, and debt and equity market transactions. The role requires exceptional legal writing skills, excellent academic credentials, and the ability to handle multiple projects independently.

Duties and Responsibilities:

  • Provide legal advice on various securities law matters, including public and private debt and equity securities offerings.
  • Advise clients on public company reporting obligations and ensure compliance with SEC regulations, including the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Draft, review, and negotiate complex legal documents such as registration statements, prospectuses, offering memoranda, and disclosures related to securities offerings.
  • Lead due diligence efforts during capital markets transactions, coordinating with specialists and ensuring comprehensive compliance.
  • Assist clients with corporate governance matters and SEC compliance, providing guidance on best practices.
  • Collaborate with clients’ internal teams and external advisors on structuring and executing capital markets transactions.
  • Monitor and stay informed on changes in securities regulations and capital market trends, advising clients on the potential impact of regulatory updates.
  • Oversee the preparation and filing of periodic reports, proxy statements, and other documents required by the SEC.
  • Manage multiple client matters and ensure timely, high-quality legal service delivery under minimal supervision.

Requirements:

  • 2-5 years of experience in corporate law with a strong focus on securities law, capital markets transactions, and regulatory compliance.
  • Extensive knowledge of public company reporting requirements, SEC regulations, and corporate governance.
  • Experience leading due diligence teams and managing complex transactions in securities and capital markets.
  • Ability to draft, review, and negotiate legal documents related to public securities offerings and SEC filings.
  • Demonstrated capacity to manage multiple assignments and meet tight deadlines with minimal supervision.
  • Excellent research, writing, and analytical skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law and in good standing with the Washington, DC Bar (or eligible for admission).
