A law firm seeks a driven associate to join its Corporate Governance team in New York. This position plays a vital role in identifying, evaluating, and initiating fiduciary duty claims on behalf of investor clients. The successful candidate will engage in critical legal work that includes assessing potential claims, advising institutional investors, drafting court filings, and collaborating with other teams to shape case development. This is an exciting opportunity for an entrepreneurial-minded candidate with strong communication and legal research skills who is passionate about representing investors.

Duties:

  • Evaluate and analyze potential claims related to breaches of fiduciary duty.
  • Prepare memoranda and presentations advising clients on potential claims.
  • Work closely with senior attorneys and other teams to assess new matters and drive business development.
  • Draft initial court filings, such as Section 220 demands, breach of duty complaints, and related legal briefs.
  • Collaborate with shareholder rights firms and defense firms to resolve case organizational and leadership issues.
  • Perform legal research and assist in case development activities.
  • Take an active role in presenting claims to institutional investor clients and hedge funds.
  • Support the co-head of the Governance Department in developing strategies for case generation.

Requirements:

  • A Juris Doctor (JD) is required, with a preference for candidates from 2019 to 2022 (open to exceptional candidates).
  • Admission to the New York Bar or Delaware Bar is strongly preferred.
  • Previous experience with Chancery Court, fiduciary duty, merger, or appraisal litigation is a plus.
  • Judicial clerkship, particularly in Delaware Chancery, is preferred.
  • Strong financial literacy and understanding of corporate governance issues.
  • Entrepreneurial spirit with a proactive approach to taking ownership of cases.
  • Desire to represent institutional investors rather than corporations.
  • Ability to manage multiple complex cases and work alongside more senior attorneys.
  • Excellent time management, organizational, and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • New York Bar or Delaware Bar admission is preferred.

Skills:

  • Exceptional legal research, writing, and analytical skills.
  • Ability to draft legal documents such as complaints, petitions, and other court filings.
  • Strong communication skills for client presentations and team collaborations.
  • Proficient in managing multiple legal matters and deadlines simultaneously.
