Job Overview
A prestigious law firm located in Buffalo, NY, is seeking a skilled Associate Attorney with 4-8 years of experience in corporate transactional law, specifically within the Private Equity and Mergers & Acquisitions (M&A) space. This role will involve working closely with a range of clients including private equity firms, independent sponsors, and investment groups. The ideal candidate will have experience drafting and negotiating purchase agreements and be comfortable managing key aspects of deals under the guidance of senior partners.

Duties

  • Advise clients, including private equity firms, independent sponsors, private companies, and family offices, on sophisticated M&A transactions.
  • Draft, review, and negotiate key legal documents, including purchase agreements.
  • Manage key aspects of M&A transactions, acting as the "second chair" in deals under partner supervision.
  • Provide business-oriented legal advice that balances risk with client goals.
  • Collaborate with a team-oriented legal environment to deliver high-quality legal services.
  • Build and maintain strong client relationships in a collegial and professional setting.

Requirements

  • 4-8 years of corporate transactional experience with a focus on M&A.
  • Proven experience drafting and negotiating purchase agreements.
  • Ability to manage significant aspects of M&A deals.
  • Strong interpersonal skills for working directly with clients and partners.
  • Familiarity with private equity and investment group transactions.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in New York or ability to obtain licensure.

Certifications

  • Active membership in the New York State Bar or eligibility for admission.
