The ideal candidate should have in-depth expertise in public company reporting obligations, public securities offerings, SEC compliance, corporate governance requirements, and debt and equity markets transactions. The successful candidate must have strong legal writing skills, superior academic credentials, and the ability to manage multiple projects with minimal supervision.

Duties and Responsibilities:

  • Provide legal counsel on a range of securities law matters, including equity and debt securities transactions.
  • Advise clients on public company reporting obligations and ensure compliance with SEC regulations, including the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Draft and review registration statements, offering memoranda, and other legal documents related to securities offerings.
  • Lead and manage due diligence teams during capital markets transactions, ensuring thorough reviews and compliance.
  • Collaborate with specialists and cross-functional teams to facilitate complex transactions.
  • Guide clients on corporate governance matters, advising on best practices and compliance with legal standards.
  • Stay current on developments in securities regulations and capital markets trends, providing proactive legal advice to clients.
  • Assist in the preparation of periodic reports, proxy statements, and other filings required by the SEC.
  • Handle multiple assignments and client matters, ensuring timely and efficient delivery of legal services.

Requirements:

  • 2-5 years of experience in corporate law, with significant experience advising on securities law and capital markets transactions.
  • Proven expertise in public company reporting obligations, SEC compliance, and corporate governance matters.
  • Experience managing due diligence processes and working with specialists in capital markets transactions.
  • Strong legal drafting skills, with experience preparing documents related to securities offerings and compliance.
  • Ability to manage multiple complex projects and work effectively under tight deadlines.
  • Exceptional writing, research, and analytical skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active and in good standing with the Pennsylvania State Bar.
