A law firm seeks a highly skilled Private Funds Associate to join its Asset Management Group in San Francisco. This position offers an opportunity to counsel clients on the creation, structuring, and management of private investment funds. The role involves drafting and negotiating fund documentation, ensuring compliance with securities regulations, and providing comprehensive legal support to fund managers and investors.

Duties

  • Guide clients in the formation and structuring of private investment funds.
  • Draft and negotiate critical fund documents, including limited partnership agreements, subscription agreements, private placement memoranda, and side letters.
  • Conduct due diligence and review investment documents.
  • Offer ongoing support to fund managers and investors in operational matters.
  • Advise on fund marketing strategies and investor relationships.
  • Provide counsel on secondary transactions and fund restructurings.
  • Monitor and ensure compliance with evolving securities laws and regulatory requirements.
  • Collaborate with internal and external stakeholders to deliver tailored legal solutions.

Requirements

  • 3–6 years of legal experience focused on private investment funds, preferably at a reputable national or global law firm.
  • Expertise in securities laws and regulatory compliance.
  • Demonstrated ability to manage multiple complex projects independently.
  • Commitment to mentoring and supporting junior associates.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the bar in California or the relevant jurisdiction.
