Job Overview:
A prestigious law firm is seeking mid-level associates with experience in managing and negotiating debt finance transactions to join its Americas Banking practice. The ideal candidate will have a strong academic background, a deep interest in both domestic and cross-border financing, and a demonstrated ability to work effectively within a team in a fast-paced environment. This position offers the opportunity to handle complex, multi-jurisdictional transactions and collaborate with finance teams globally.

Location:

  • Miami

Duties:

  • Draft, review, and negotiate commitment letters, term sheets, loan, and security documents.
  • Prepare and review issues lists and summary grids.
  • Conduct legal research as needed.
  • Manage deal teams and oversee transaction processes from initial discussions to post-closing.
  • Conduct due diligence for transactions.
  • Act as the primary point of contact for clients, opposing counsel, and legal teams.
  • Assist clients with ongoing deal administration, including amendments and collateral matters.
  • Provide direct support to senior lawyers in daily legal services.
  • Present at educational seminars and attend continuing education classes.
  • Mentor junior team members.

Requirements:

  • At least two years of debt finance experience.
  • Experience in sponsored finance, syndicated lending, acquisition/leveraged finance, or direct lending preferred.
  • Strong drafting skills and business awareness.
  • Outstanding communication and time management skills.
  • Ability to manage multiple projects and stay calm under pressure.
  • Proactive, resourceful, and self-starter with strong professional presence.
  • Fluency in English (Spanish fluency is a plus).
  • Admitted to the bar and in good standing.

Education:

  • Strong academic background in law, with a focus on finance-related legal matters.

Certifications:

  • Admission to the bar in relevant jurisdictions.
