Junior Project Finance Associate Attorney
Location: Houston, TX

Job Overview:
A well-established law firm is currently seeking a Junior Project Finance Associate to join its dynamic Financial Services Practice. The ideal candidate will bring 2-3 years of experience in project finance and will have an opportunity to work on both lender- and borrower-side matters. The role requires a solid understanding of various project financing structures, agreements, and legal documentation, with a particular emphasis on supporting the firm’s growing financial services portfolio.

Duties:

  • Assist in negotiating, drafting, and reviewing project finance agreements, including credit facilities, depositary accounts agreements, letters of credit, and performance bonds.
  • Draft and review balance of plant agreements, supply agreements (e.g., transformer, module, turbine, and inverter supply agreements), and offtake/tolling agreements.
  • Collaborate in drafting and executing security documents, such as security agreements, pledge agreements, financing statements, and control agreements.
  • Prepare legal opinions under New York law, including legal opinions, direct agreements, consents to collateral assignments, and reliance letters.
  • Conduct due diligence, prepare reports, and assist with bankability analysis on project documents.
  • Support project financing transactions through all phases, including structuring, negotiating, and documenting project deals.
  • Foster relationships with clients, working effectively both independently and within a team to meet client needs and project objectives.

Requirements:

  • 2-3 years of experience in project finance, with exposure to both lender-side and borrower-side transactions.
  • Solid understanding of LSTA Credit Agreements, New York law-governed Security Documents, and Project Documents (EPC Contracts, Offtake Agreements, Supply Agreements, and Reliance Letters).
  • Proven ability to draft complex legal documents and handle sophisticated finance transactions.
  • Strong analytical, problem-solving, and organizational skills.
  • Entrepreneurial mindset with the ability to thrive in a fast-paced, deadline-driven environment.
  • Ability to work well both independently and as part of a collaborative team.

Education:

  • A J.D. from an accredited law school with strong academic credentials.

Certifications:

  • Licensed to practice law in Texas or eligible to become licensed in Texas.

Skills:

  • Exceptional written and verbal communication skills.
  • Ability to manage multiple priorities and meet deadlines effectively.
  • Expertise in project finance law, particularly in connection with complex transactions and financing agreements.
  • Detail-oriented with a focus on accuracy and clarity in legal drafting.
