Job Overview:
A prominent law firm based in San Francisco, CA is currently seeking a skilled mid-level Corporate Associate Attorney to join their Capital Markets and Public Companies group. The ideal candidate will have over three (3) years of experience advising public companies or investment banks, with expertise in SEC compliance, disclosure, governance, and exchange matters. The role requires a strong understanding of capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings. Experience with or a passion for working with technology and life sciences companies is highly desirable. Duties:

• Advise public companies and investment banks on capital markets transactions, including IPOs, SPACs, direct listings, and follow-on offerings.
• Provide counsel on SEC compliance, corporate governance, disclosure requirements, and exchange matters.
• Work with a diverse range of technology and life sciences clients, assisting them with legal matters related to corporate finance and public offerings.
• Assist clients in navigating complex regulatory landscapes and stay up-to-date on relevant securities laws and regulations.
• Draft and review documents related to capital markets transactions, including registration statements, offering memorandums, and proxy statements.
• Collaborate with senior attorneys and cross-functional teams to deliver strategic legal solutions.
• Maintain and develop relationships with clients, providing ongoing advice on corporate governance and compliance issues.

Requirements:

• Minimum of 3+ years of experience in capital markets law, advising public companies or investment banks.
• Strong background in SEC compliance, governance, and exchange matters.
• Experience with capital markets transactions, including IPOs, SPACs, and direct listings.
• Ability to handle complex legal issues with a high degree of professionalism and attention to detail.
• Must be admitted to practice law in California.
• Strong communication skills, both oral and written.
• Demonstrated ability to work effectively within a team-oriented environment.

Education:

• Juris Doctor (JD) from an accredited law school.
• Strong academic credentials.
