A law firm seeks a seasoned Emerging Companies and Venture Capital (ECVC) Attorney to join its Business Group in Portland, OR. This role offers the opportunity to support a diverse array of business clients, from startups to established companies, with hands-on legal counsel in corporate governance and high-level transactions. The candidate will have frequent collaboration with skilled attorneys across multiple locations.

Duties

  • Serve as primary advisor to clients on corporate governance and regulatory compliance.
  • Lead capital-raising activities, including private offerings and financing from various sources such as angel investors, venture funds, and traditional banks.
  • Structure, oversee, and execute complex transactions across diverse sectors.
  • Provide strategic advice on corporate matters including public company regulations, capital markets, securities, and mergers and acquisitions.
  • Build and maintain strong client relationships through proactive and responsive legal support.
  • Contribute to pro bono and community service initiatives to support underserved communities.

Requirements

  • Experience: Minimum of 7 years representing emerging brands in capital raises and investor negotiations. Additional experience in public company matters, capital markets, and M&A is beneficial.
  • Client Base: A partial portable book of business is required.
  • Academic Credentials: JD from an ABA-accredited law school.
  • Licensing: Active law license.
  • Skills: Strong analytical and writing abilities with a commitment to exceptional client service.
  • Project Management: Ability to manage multiple responsibilities independently and as part of a team.

Education

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications

  • Active law license.

Skills

  • Proficiency in corporate governance and venture capital transactions.
  • Skilled in advising on financing transactions, investor relations, and regulatory compliance.
  • Strong attention to detail and effective organizational skills.
  • Excellent communicator, capable of fostering client relationships and managing complex cases.
  • Ability to draft, negotiate, and finalize transactional documentation for diverse investments.
