Complex Credit And Insurance Solutions Associate Attorney

Job Overview:

A law firm in Boston, MA is seeking a Complex Credit and Insurance Solutions Associate Attorney with 4-6 years of experience in complex credit fund formation and insurance solutions for private fund sponsors. The ideal candidate will possess a deep understanding of private fund documentation and regulatory compliance.

Duties:

• Draft and negotiate fund documentation, including private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, and legal opinions.
• Manage the entire fundraising process from launch to close, including client interfacing, investor negotiations, subscription documentation, and closing mechanics.
• Interface with clients and manage side letter negotiations.
• Ensure compliance with the Investment Advisers Act, Regulation D, and exemptions to the Investment Company Act.
• Handle regulatory filings and provide advice on federal securities laws.

Requirements:

• 4-6 years of experience in complex credit fund formation and insurance solutions.
• Experience with private fund formation, including drafting and negotiation of documentation.
• Prior work with private credit or CLOs is a plus.
• Proven track record in managing fund raises and closing transactions.
• Large Law Firm experience required.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Licensed to practice law in the state of Massachusetts.

Skills:

• Strong negotiation and drafting skills.
• In-depth knowledge of federal securities laws and fund formation processes.
• Excellent client management and communication skills.
• Ability to manage complex projects and multiple priorities effectively.
