Job Overview:

A law firm is seeking an experienced Tax Group Non-Profit Counsel to join their Richmond, VA office. The ideal candidate will have a strong background in representing various tax-exempt organizations, including public charities, educational institutions, healthcare entities, and private foundations. The role demands expertise in federal tax compliance, governance, endowment matters, and investment issues specific to non-profit entities. The Counsel will provide strategic guidance on tax regulations, compliance matters, and governance issues, ensuring adherence to federal laws and regulations.

Duties and Responsibilities:

  • Provide legal counsel to public charities, major colleges and universities, hospitals, healthcare organizations, publicly supported organizations, supporting organizations, family and corporate, private foundations, and charitable and scholarship trusts.
  • Address all compliance with federal tax laws applicable to charitable and tax-exempt organizations.
  • Advise on governance issues, endowment management, and investment matters related to non-profit entities.
  • Navigate federal tax rules applicable to private foundations, including self-dealing, excess business holding, and taxable expenditure issues.
  • Assist clients with participation in joint ventures and manage consequences of unrelated trade or business activities.
  • Develop and implement strategies to ensure clients' compliance with federal tax regulations.
  • Draft and review legal documents, including tax-exempt status applications, compliance reports, and organizational policies.
  • Represent clients in audits and disputes with the IRS or other regulatory bodies.
  • Stay current with changes in federal tax laws and regulations impacting non-profit organizations.
  • Provide training and guidance to clients on tax compliance and governance best practices.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar in Virginia.
  • Experience in tax law with a focus on non-profit organizations.
  • Proven track record of representing a variety of public charities, educational institutions, healthcare entities, private foundations, and charitable trusts.
  • Expertise in federal tax compliance, governance, endowment management, and investment matters for non-profits.
  • Experience with private foundation regulations, including self-dealing, excess business holding, and taxable expenditure issues.
  • Ability to manage complex legal issues and provide strategic advice on tax and governance matters.

Education and Certifications:

  • JD degree from an accredited law school.
  • Admission to the Virginia State Bar.
  • Relevant certifications (e.g., Certified Specialist in Nonprofit Law) are a plus.
