A law firm seeks a Junior Corporate M&A Associate to join its Corporate Practice in Boston, MA. This position focuses on mergers and acquisitions, private equity transactions, and related corporate matters. The ideal candidate will have a background in corporate transactions, with experience handling due diligence, drafting acquisition agreements, and managing transaction processes for complex deals. This role offers significant client-facing responsibilities, project management opportunities, and the chance to work in a dynamic, fast-paced environment.

Duties

  • Draft and negotiate acquisition agreements and supporting documents for M&A and private equity transactions.
  • Lead key transaction workstreams, including:
    • Conducting due diligence, especially for representations and warranties insurance transactions.
    • Independently drafting and negotiating ancillary agreements and disclosure schedules.
    • Overseeing collaboration with tax, benefits, real estate, and other internal and external specialists.
    • Interfacing directly with clients regarding transaction details and timelines.
  • Manage complex project workflows, ensuring efficient coordination of tasks across multiple teams and specialists.
  • Assume significant responsibility in client interactions and manage workstreams to meet demanding timelines.
  • Contribute to maintaining organized transaction files and ensure clear communication across workstreams.

Requirements

Education

  • Juris Doctorate (JD) degree from an accredited law school.
  • Strong academic credentials.

Certifications

  • Admission to the Massachusetts Bar or eligibility to obtain Massachusetts Bar admission.

Experience

  • 2-4 years of experience in corporate transactions, focusing on mergers and acquisitions and private equity.
  • Background in drafting and negotiating acquisition agreements, including related ancillary agreements.

Skills

  • High level of maturity and professionalism, with the ability to take on significant responsibility.
  • Strong organizational skills, with the ability to manage a fast-paced and demanding workload.
  • Exceptional writing, analytical, and interpersonal communication skills.
  • Capacity to work collaboratively with team members and to independently manage key transaction components.
