Job Overview:
A prestigious law firm based in McLean, VA, is seeking an experienced Senior Associate Attorney or Junior Counsel to join their Compensation and Benefits team. The successful candidate will play a key role in advising clients on matters related to executive compensation and benefits, with a particular focus on mergers and acquisitions. Duties:

  • Draft and negotiate executive employment agreements for mergers and acquisitions.
  • Develop, manage, and implement equity incentive plans, including profits interest plans.
  • Provide expert advice on executive compensation about regulatory compliance.
  • Guide clients on benefits and compensation integration during mergers and acquisitions.
  • Collaborate with cross-functional teams, including tax and corporate departments, to provide comprehensive legal support.
  • Advise clients on emerging trends and changes in employment law affecting compensation and benefits.
  • Conduct due diligence on compensation and benefits-related matters in transactional contexts.

Requirements:

  • Experience in executive compensation and employee benefits law.
  • Strong background in mergers and acquisitions, particularly in compensation-related matters.
  • Extensive experience drafting and negotiating complex employment agreements.
  • Knowledge of ERISA, tax laws, and securities regulations affecting compensation.
  • Proven ability to manage multiple client relationships and transactions simultaneously.

  • Excellent communication and interpersonal skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Bar in Virginia, or eligibility to become licensed.
