Job Overview:
A prestigious law firm is seeking a highly skilled mid or senior-level Project Finance Attorney with experience in finance, M&A, and/or the development of energy and infrastructure projects. This role is ideal for an attorney with transactional legal experience in large-scale renewable and conventional power and energy projects. The candidate will be expected to work on a variety of complex transactions, including credit and security documentation, purchase and sale agreements, power purchase agreements, and handling closings for financings or acquisitions in the energy and infrastructure sectors. Location:

  • Austin, TX

Duties:

  • Manage and handle project finance transactions for energy and infrastructure projects.
  • Provide legal expertise in the drafting and negotiating of power purchase agreements, credit and security documentation, and merger and acquisition agreements.
  • Lead the closing process for financings and acquisitions/dispositions in power, energy, and infrastructure sectors.
  • Provide guidance and legal support on complex energy projects, including those related to renewable energy, natural gas, hydrogen, carbon capture, battery storage, and data centers.
  • Draft and negotiate various project contracts and documents, including power purchase agreements and related supply/offtake agreements.
  • Work collaboratively with cross-functional teams to structure and execute transactions and support clients through the negotiation and documentation processes.

Requirements:

  • 4-6 years of experience in project finance, M&A, and energy infrastructure projects.
  • Strong transactional experience with large renewable and conventional energy projects.
  • Expertise in credit and security documentation, merger documentation, and power purchase agreements.
  • Experience leading closings for financing and acquisitions/dispositions in energy, infrastructure, or power sectors.
  • Knowledge of various energy sectors, including wind, solar, natural gas, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Strong negotiation skills and the ability to work on complex, high-stakes transactions.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in the Bar of the state(s) in which the applicant will practice.

Certifications:

  • Licensed to practice law in at least one U.S. jurisdiction.
  • Relevant certifications in energy or infrastructure law (optional, but beneficial).

Skills:

  • Strong legal research and drafting skills.
  • In-depth knowledge of project finance, energy law, and infrastructure development.
  • Excellent verbal and written communication skills.
  • Strong leadership, organizational, and time management skills.
  • Ability to manage multiple transactions and meet tight deadlines.
  • Effective team player with the ability to work independently.
