Corporate Associate

A law firm seeks a skilled and driven Corporate Associate to join a premier middle-market Corporate and Securities Practice. This full-time, on-site position based in Tysons Corner, VA, offers the opportunity to support significant mergers and acquisitions, as well as other sophisticated corporate matters. The ideal candidate will have experience working on complex transactions, drafting and negotiating corporate agreements, and managing cross-disciplinary teams. This role is designed for a highly motivated attorney who is eager to contribute to a fast-paced, collaborative practice with a supportive culture.

Duties:

• Draft and negotiate purchase agreements related to mergers and acquisitions.
• Manage transaction teams across multiple disciplines, guiding them from due diligence through negotiation and closing.
• Structure and form new business entities and ventures.
• Advise corporate clients on acquisition strategies and provide day-to-day legal counsel.
• Draft and negotiate a variety of general corporate and commercial agreements, such as:
  • Information technology and licensing agreements
  • Stock and asset purchase agreements
  • Operating, partnership, and shareholder agreements
• Collaborate with other team members while working independently on individual tasks and projects.
• Maintain attention to detail while managing multiple complex tasks in a fast-paced environment.

Requirements:

• Minimum of 3 years of experience in corporate law, particularly in mergers and acquisitions.
• Experience managing transactions from start to finish, including due diligence, negotiation, and closing.
• Proven ability to draft and negotiate various corporate agreements, such as IT, licensing, and commercial contracts.
• Strong organizational skills and ability to manage multiple priorities efficiently.
• A proactive, self-driven approach to work, with the ability to collaborate effectively with a team.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admission to the Virginia Bar or eligibility to take the Virginia Bar exam.
