Job Overview:

A law firm is seeking a highly skilled and experienced Mid-Senior Level Capital Markets Associate Attorney to join their team in Dallas, TX. The ideal candidate will have a strong background in public and private equity offerings, interfacing with regulators, and ongoing reporting requirements for public companies. The role requires excellent client management skills, drafting and negotiation capabilities, and retaining and growing client relationships.

Key Responsibilities:

  • Conduct public and private equity offerings, including initial public offerings (IPOs) and follow-on offerings.
  • Prepare and review proxy and S-4 registration statements for business combination transactions.
  • Interface with the Securities and Exchange Commission (SEC) and other regulators.
  • Manage ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Represent issuers and underwriters in various transactions.
  • Work with exceptional purpose acquisition companies (SPACs), real estate investment trusts (REITs), and debt offerings.
  • Provide day-to-day counsel to public companies on corporate governance matters.
  • Retain and grow existing client relationships through excellent client management.
  • Draft and negotiate vital legal documents.

Requirements:

  • Minimum of 4+ years of experience in capital markets law, specifically in public and private equity offerings.
  • Experience in interfacing with the SEC and other regulators.
  • Familiarity with the ongoing reporting requirements under the ’34 Act for public companies.
  • Proven experience in representing both issuers and underwriters.
  • Additional experience with SPACs, REITs, and debt offerings is beneficial.
  • Strong academic background.
  • Excellent client management skills, with the ability to retain and grow client relationships.
  • Superior drafting and negotiation skills.
  • Admission to one or more State Bars.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic background with a focus on corporate or securities law.

Certifications:

  • Admission to one or more State Bars is required.

  • Excellent written and verbal communication skills.
  • High attention to detail and organizational abilities.
  • Ability to manage multiple tasks and projects simultaneously.
