Job Overview

A law firm based in Minneapolis, MN, is seeking a Junior to Mid-Level Corporate Finance Associate Attorney. This role offers an opportunity to work within a well-established Corporate Finance Practice, handling transactions with a diverse client base from various industries across the U.S. The ideal candidate will have a strong background in finance or corporate law and will be responsible for managing complex financial agreements, representing both lenders and borrowers and providing high-level legal advice in corporate finance matters.

Duties

  • Represent clients in lender and borrower-side transactions, including broadly syndicated credit facilities, acquisition financings, and private credit facilities.
  • Draft, review, and revise credit agreements, debt commitment letters, security agreements, and closing deliverables.
  • Manage deal flow, maintain client relationships, and oversee the transaction process from inception to closing.
  • Prepare legal opinions, schedules, exhibits, and various closing documentation such as secretary’s certificates and resolutions.
  • Work with private equity sponsors and portfolio companies on financial transactions.
  • Collaborate closely with the legal team and clients to ensure timely and efficient transaction handling.

Requirements

  • 2-4 years of experience in finance or corporate law, with substantial experience in finance transactions.
  • Expertise in lender and borrower representations and experience with syndicated credit facilities and acquisition financings.
  • Strong drafting, negotiation, and communication skills.
  • Ability to take on significant responsibility and manage deals with minimal supervision.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • A strong academic background, with a focus on finance or corporate law preferred.

Certifications

  • Admission to one or more State Bars is required.

Skills

  • Superior drafting and negotiation skills.
  • Proactive, detail-oriented, and team-focused approach.
  • Ability to handle multiple deals concurrently and meet deadlines.
  • Strong interpersonal and communication skills for effective client interaction.
