A law firm in Los Angeles, CA, is seeking a skilled and experienced Corporate / M&A Associate Attorney with 4-6 years of experience. The ideal candidate will have a strong background in preparing primary transaction documents in sophisticated transactions representing both buyers and sellers, as well as experience in equity financing transactions. Experience in fund formation is a plus. The position requires working 1,750 hours annually.

Duties and Responsibilities:

  • Prepare primary transaction documents for sophisticated transactions representing both buyers and sellers.
  • Handle equity financing transactions, providing legal advice and representation to clients.
  • Assist in the formation of funds, if applicable.
  • Conduct thorough legal research and analysis on corporate and M&A issues.
  • Draft, review, and negotiate contracts, agreements, and other legal documents related to corporate transactions.
  • Collaborate with clients to develop and implement effective transaction strategies.
  • Maintain and enhance client relationships through exceptional service and strategic legal counsel.
  • Work closely with senior attorneys and partners on complex corporate and M&A matters.
  • Stay current with corporate law, M&A regulations, and industry trends.
  • Participate in business development activities to expand the firm's client base and practice.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the California State Bar in good standing.
  • 4-6 years of experience in corporate law and M&A transactions.
  • Proven experience in preparing primary transaction documents for sophisticated transactions.
  • Strong understanding of equity financing transactions.
  • Excellent written and verbal communication skills.
  • Ability to work effectively in a team-oriented environment.
  • Strong analytical and problem-solving skills.
  • Commitment to maintaining a high standard of client service.

Preferred Skills:

  • Experience in fund formation.
  • Established network within the corporate law and M&A industry.
