Corporate Associate Attorney

A law firm in Rochester, NY, is seeking a Corporate Associate Attorney to join their team. The ideal candidate will have a strong background in handling general corporate legal matters, including mergers and acquisitions, financial/securities offerings, and governance and compliance issues. The position requires strong drafting, negotiation, and technical skills, as well as admission to practice in New York State.

Duties and Responsibilities:

• Handle a range of general corporate legal matters, including mergers and acquisitions, financial/securities offerings, governance, and compliance issues.
• Draft and review legal documents such as contracts, agreements, and corporate policies.
• Advise clients on corporate governance, regulatory compliance, and business transactions.
• Conduct due diligence for mergers and acquisitions, including reviewing contracts and financial statements.
• Negotiate terms and conditions of business transactions on behalf of clients.
• Manage and oversee corporate filings and registrations with relevant authorities.
• Provide legal advice on complex business transactions and ensure alignment with legal requirements.
• Collaborate with senior attorneys and support staff to deliver comprehensive legal solutions.
• Stay updated on developments in corporate law and relevant regulations to provide informed advice.

Requirements:

• 2+ years of experience in corporate law, including mergers and acquisitions, financial/securities offerings, and business transactions.
• Strong drafting, negotiation, and technical skills.
• Admission to practice law in New York State.
• Proven ability to handle complex legal matters and provide sound legal advice.
• Experience in managing corporate filings and regulatory compliance.
