A law firm in San Francisco, CA, is seeking a Mid-to-Senior level Corporate Healthcare Transactional Associate Attorney to provide counsel to innovative healthcare clients across various transactional phases. The role focuses on strategic transactions including mergers and acquisitions, asset and equity acquisitions, venture capital and private equity investments, and joint ventures. Additionally, the attorney will assist clients with corporate and organizational workflows, including formations, capital raises, operational strategies, contract negotiations, and daily corporate matters.

Duties:

  • Advise healthcare clients on strategic transactions such as mergers and acquisitions, asset and equity acquisition transactions.
  • Manage venture capital and private equity investments in the healthcare sector.
  • Oversee joint venture transactions and related agreements.
  • Assist clients with corporate and organizational workflow, including formations, capital raises, and operational strategy.
  • Conduct contract negotiations and handle day-to-day corporate matters.
  • Communicate directly with clients and third-party advisors on a regular basis.
  • Take ownership of projects and collaborate effectively as part of a team.

Requirements:

  • 4-6 years of experience in mergers & acquisitions and/or private equity within the healthcare industry.
  • Admission to the Bar in California (must be admitted to practice law in the state).
  • Outstanding academic credentials from an accredited law school.
  • Excellent oral communication, writing, research, and analytical skills.
  • Ability to take initiative and manage projects independently.
  • Strong teamwork and collaboration skills, with the ability to interact effectively with clients and third-party advisors.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Bar in California.

Skills:

  • In-depth knowledge and experience in strategic transactions, mergers and acquisitions, and private equity investments in healthcare.
  • Proficiency in corporate and organizational workflows, including formations, capital raises, and operational strategies.
  • Strong negotiation skills and ability to manage complex contract negotiations.
